1Acceptance of Terms

By creating an account or using EyeCash ("Service," "Platform," "we," "us," "our"), you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use EyeCash. Your continued use of the Service constitutes acceptance of these Terms and any updates.

2Description of Services

EyeCash is a personal finance platform that provides tools to track expenses, manage budgets, connect financial accounts, and receive AI-powered insights and recommendations. We may modify, suspend, or discontinue any part of the Service at any time with or without notice. Features available in free and subscription tiers may change. We are not liable for any modifications or discontinuations.

3Eligibility and Account Creation

You must be at least 18 years old to use EyeCash. By creating an account, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal capacity to enter into these Terms
• All information you provide is accurate, current, and complete
• You will maintain the security and confidentiality of your account credentials
• You will notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account. EyeCash is not liable for losses resulting from unauthorized account access due to your failure to secure your credentials.

4User Responsibilities and Prohibited Conduct

You agree to:

• Use the Service lawfully and in compliance with these Terms
• Provide accurate financial data and account information
• Review insights and recommendations for accuracy and suitability
• Keep your account credentials secure and not share them with others

You agree NOT to:

• Use the Service for illegal, fraudulent, or harmful purposes
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Use bots, scripts, or automated tools to access or scrape the Service
• Upload malware, viruses, or malicious code
• Impersonate any person or entity or falsely represent your affiliation

Violation of these prohibitions may result in immediate termination of your account and legal action.

5Financial Connections and Plaid Integration

EyeCash uses Plaid Technologies, Inc. ("Plaid") to enable secure connections to your financial accounts. When you link an account:

• You authorize EyeCash to retrieve and store transactional data, account balances, and related metadata
• Your credentials are securely handled by Plaid and not stored by EyeCash
• We have read-only access and cannot initiate transactions or move money
• You may revoke access at any time by disconnecting accounts in your settings

6AI-Powered Insights and Recommendations

EyeCash uses artificial intelligence (AI) and machine learning to analyze your financial data and provide personalized insights. By using EyeCash, you consent to AI processing of your data. AI-powered features include:

• Spending trend analysis and category insights
• Budget recommendations and overspending alerts
• Debt payoff strategies (e.g., avalanche, snowball)
• Savings opportunities and financial health scores
• Recommendations for financial products, services, or institutions

IMPORTANT DISCLAIMERS:

• AI insights are advisory only and do not constitute professional financial, legal, or tax advice. Always consult a qualified financial advisor, attorney, or tax professional before making significant financial decisions.
• AI-generated recommendations are based on patterns in your data and may not account for all factors affecting your financial situation.
• EyeCash makes no guarantees regarding the accuracy, completeness, or suitability of AI-generated insights. You use AI insights at your own risk.
• AI processing cannot be disabled. If you do not wish for your data to be analyzed by AI, do not use EyeCash.
• We are not liable for decisions made based on AI-generated insights or recommendations.

7Affiliate Relationships and Compensation

EyeCash may display recommendations for third-party financial products, services, or institutions (such as high-yield savings accounts, credit cards, brokerage accounts, or investment platforms). We may receive compensation, affiliate commissions, or referral fees if you choose to engage with these recommendations.

Key disclosures:

• Affiliate relationships do not affect the accuracy of your financial data or the core functionality of EyeCash.
• Recommendations are generated based on your financial profile and goals, but the selection of recommended partners may be influenced by affiliate agreements.
• You are never required to use any recommended products or services.
• All affiliate recommendations are clearly marked as such.
• We do not guarantee the quality, suitability, or availability of third-party products or services.
• EyeCash is not responsible for the practices, terms, or performance of affiliate partners. Review all terms and conditions before engaging with any third party.

8Fidelity Flow-Down Terms (If Applicable)

If EyeCash displays recommendations for Fidelity Investments products or services, or if you access Fidelity-related features, the following terms apply in addition to these Terms of Service:

• Brokerage services are provided by Fidelity Brokerage Services LLC, Member NYSE, SIPC.
• Fidelity's terms, privacy policies, and disclosures govern your relationship with Fidelity. Review them at https://www.fidelity.com before opening an account or using Fidelity services. https://www.fidelity.com
• EyeCash is not affiliated with, endorsed by, or sponsored by Fidelity Investments.
• EyeCash is not responsible for Fidelity's services, investment performance, account terms, or customer service.
• Investment products offered through Fidelity are not FDIC insured, involve investment risk, including loss of principal, and have no bank guarantee.
• All investment decisions are your own. EyeCash does not provide investment advice or recommendations specific to Fidelity or any other investment platform.

9Subscription Plans and Payments

EyeCash offers free and paid subscription plans. Subscription terms:

• Billing: Subscriptions are billed monthly or annually (as selected). Payment is processed via Stripe.
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date.
• Cancellation: You may cancel your subscription at any time in your account settings. Cancellation takes effect at the end of the current billing period.
• Refunds: Subscription fees are generally non-refundable except as required by law. We do not offer prorated refunds for partial billing periods.
• Price Changes: We may change subscription prices at any time. You will be notified of price changes and have the opportunity to cancel before the new price takes effect.
• Free Trials: If offered, free trials automatically convert to paid subscriptions unless canceled before the trial ends.

Failure to pay subscription fees may result in suspension or termination of your account.

10Intellectual Property Rights

All content, features, functionality, trademarks, logos, and materials provided by EyeCash (including but not limited to software, text, graphics, user interface, and code) are the exclusive property of EyeCash or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our prior written consent.

11User Data and Privacy

Your use of EyeCash is governed by our Privacy Policy, which explains how we collect, use, share, and protect your personal and financial data. By using EyeCash, you consent to the data practices described in the Privacy Policy.

12Disclaimers and Limitations of Liability

EyeCash provides the Service "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to:

• Merchantability, fitness for a particular purpose, and non-infringement
• Accuracy, reliability, completeness, or timeliness of data, insights, or recommendations
• Uninterrupted or error-free operation of the Service
• Security or freedom from viruses or malicious code

TO THE FULLEST EXTENT PERMITTED BY LAW, EYECASH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not allow exclusion of certain warranties or limitation of liability, our liability is limited to the maximum extent permitted by law. Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to EyeCash in the 12 months preceding the claim, or $100 (whichever is greater).

13Indemnification

You agree to indemnify, defend, and hold harmless EyeCash and its affiliates, officers, directors, employees, contractors, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your provision of inaccurate or misleading information; or (e) any financial decisions you make based on AI-generated insights or affiliate recommendations.

14Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through your account settings or by contacting support@eyecash.xyz. Provisions that should reasonably survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) shall remain in effect.

15Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of EyeCash (including the validity, enforceability, or scope of this arbitration provision) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as otherwise provided herein.

Key provisions:

• Individual Arbitration Only: You and EyeCash agree to arbitrate disputes on an individual basis only. Class actions, class arbitrations, private attorney general actions, and consolidation with other arbitrations are not permitted.
• Opt-Out Right: You may opt out of this arbitration provision by sending written notice to support@eyecash.xyz within 30 days of first accepting these Terms. Your notice must include your name, email, and a clear statement that you wish to opt out of arbitration.
• Small Claims Court: Either party may bring an individual action in small claims court if the claim qualifies.
• Location and Costs: Arbitration shall be conducted in the state where you reside (or another mutually agreed location). EyeCash will pay arbitration fees in excess of what you would pay to file a lawsuit in court.

If any part of this arbitration provision is found to be unenforceable, the remainder shall remain in effect.

16Governing Law

These Terms and your use of EyeCash shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law principles. To the extent arbitration does not apply, you agree to submit to the exclusive jurisdiction of the state and federal courts located in [Your State].

17Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on our website before the changes take effect. Your continued use of EyeCash after changes take effect constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

18Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and EyeCash regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: EyeCash shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet or telecommunications failures.
